PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. ALL PRODUCT PURCHASES THROUGH HARMONITY TECHNOLOGIES LLC EXPLICITLY AGREE TO BE BOUND BY THE TERMS AND CONDITIONS BELOW. THESE TERMS AND CONDITIONS ARE SUBJECT TO CHANGE WITHOUT NOTICE, FROM TIME TO TIME IN OUR SOLE DISCRETION. WE WILL NOTIFY YOU OF AMENDMENTS TO THESE TERMS AND CONDITIONS BY POSTING THEM TO THIS WEBSITE.
Other than for specific satisfaction guarantees, all sales are non-cancellable. Customer agrees to all fees for the full duration of the committed term. Customer acknowledges that pricing is contingent upon commitment to a specific term. Cancellation of service shall not result in termination of full obligation as specified in the signed quote / order.
For any licensing of ConnectWise Software®, all licenses and Assurance are non-cancellable and non-refundable except that cancellations may only occur within 90 days of the license effective date provided that such cancellation request meets all terms of the Satisfaction Guarantee posted at the following then current url: http://www.labtechsoftware.com/it/about/satisfaction-guarantee.php
For any licensing of ConnectWise Software, customer agrees to all conditions as set in ConnectWise' EULA, which can be found at http://www.labtechsoftware.com/legal.php For all software-as-a-service (SaaS) that is purchased with a term specified, the order will automatically renew at then-current pricing unless customer notifies Harmonity Technologies in writing at least 60 days prior to expiration of the term.
Unless otherwise specified, all ConnectWise Software Perpetual licenses and associated Assurance / Maintenance, and all ConnectWise Software SaaS licenses purchased with annual payment option shall have an effective start of the term on the first day of the month in which the order was placed to Harmonity Technologies LLC. All ConnectWise Software SaaS licenses with monthly payments purchased on or prior to the tenth day of a month shall have an effective start of the term on the first day of the month in which the order was placed; ConnectWise Software SaaS licenses with monthly payments purchased after the tenth day of the month or later shall have an effective start of the term on the first day of the month after the order was placed. Other third-party software shall have an effective start date of ther term on the first day of the month in which the order was placed. Month-to-month contracts shall require 60 days notice to terminate.
Unless otherwise specified, all terms are Net 30 from date of purchase or, for monthly charges, date of billing. Late payments shall be charged 1.5% for past-due of less than 30 days, and an additional 1.5% for each additional 30 days past due. Harmonity Technologies reserves the right to cancel all licenses for any situation of late payment beyond 30 days past due.
If the customer purchases Ninite Plug-in through Harmonity Technologies, such licenses shall be subject to Terms as outlined at http://www.ninitesolution.com/terms.html
Unless otherwise agreed in writing, add-on orders for additional licenses shall not be eligible for pricing agreed upon on previous orders.
Harmonity Technologies LLC will not be liable to the Customer for loss suffered by the Customer as the result of, or in connection with the use of the software or services sold by Harmonity Technologies, unless such loss is predicated by gross negligence or willful misconduct by Harmonity Technologies.
Harmonity Technologies LLC does not make or give any express or implied warranties including, without limitation, the warranties of merchantability or fitness for a particular purpose, or arising from a course of dealing, usage or trade practice, with respect to any goods or services provided under or incidental to this agreement. No Oral or written information or advice given by Harmonity Technologies, its agents, representatives or employees, to the Customer, shall create a warranty or in any way increase the scope of the express warranties hereby given, and the Customer should not rely on any such information or advice. In no event will Harmonity Technologies LLC be liable to the Customer for any loss of business, contracts, profits or anticipates savings or for any other indirect or consequential or economic loss whatsoever.
